John Baraniak and Mike Gass wrote “Surprising Interpretations of Janus Bright Line” in Securities Law360, where they discuss the reach of the Supreme Court's decision in Janus Capital Group v. First Derivative Traders, which limited primary liability under the federal securities laws to the fraudulent statement's actual maker, and excluded from primary liability others who may have played a behind-the-scenes role in the misstatement.
