Mergers & Acquisitions: corporate transactions for both strategic and financial entities, including mergers, acquisitions and leveraged buy-outs.

Cross-Border: counsel on cross-border financings and acquisitions as well as advice on the US-based activities for companies headquartered in Europe, including Ireland and the United Kingdom.

Venture Capital: represents venture capital firms and promoters with respect to fundraising, internal structuring and portfolio company investments and dispositions.

  • Represented designer and manufacturer of products for telecom software developers and service providers in sale for $1.8 billion to NYSE-listed company. 
  • Represented initial purchaser of $125 million of convertible notes issued in 144A financing of Nasdaq-listed biotechnology company. 
  • Represented general partner of venture capital fund in the sale of $755 million of limited partnership interests.
  • Represented international company in acquisition of business division of Fortune 300 company.
  • Represented managing underwriter in $60 million initial public offering of common stock by medical device company.
  • Represented international software company in $55 million sale to Nasdaq-listed company.
