Corporate & Securities: debt and equity financings of both public and private companies, representing both funded companies and venture capital investors; public offerings; SEC filings and compliance; corporate governance counseling and implementation of Sarbanes-Oxley compliance programs for public company clients; US representation of cross-border Canadian-based corporations; and ongoing representation and counseling of public and private companies in the clean-tech, technology, software and biotechnology spaces.

- Structured and negotiated recapitalization transaction of solid oxide fuel cell and rugged battery developer, on behalf of controlling investor.
- Represented lead investor in recapitalization investment in commercial building energy efficiency provider.
- Represented private equity investor in growth-equity investment in provider of clinical research support services.
- Negotiated purchase of drug development compound in Phase III clinical trials and effected several convertible debt and equity financings for venture-backed biotechnology company with two Canadian subsidiaries, governed by exchangeable share structure.
- Represented biopharmaceutical company focused on developing and commercializing innovative antibiotics to treat serious infections in initial public offering and listing on Nasdaq Global Market.
- Represented private equity investor in growth-equity investment in provider of mortgage data analytics and risk mitigation services.
- Represented Surge Trading, Inc, f/k/a Castor Pollux Securities, stalking horse and winning bidder in purchase of assets of market-making business formerly operated by Bernard L. Madoff Investment Securities LLC.
- Represented private equity investor in insurance industry in minority recapitalization of insurance program administrator.
- Represented Chapter 11 Trustee to High Voltage Engineering Corporation in sale of assets of Robicon Corporation, including foreign subsidiaries, to Siemens Energy and Automation and stock sale of Robicon’s Italian sister company to financial buyer.
- Represented publicly traded cancer diagnostics company in completion of several private financing transactions and later sale to global, publicly traded medical diagnostic product company.
- Advised money manager client on securities law issues related to status as registered investment adviser and assisted client in formation of parallel hedge funds in US and British Virgin Islands.
- Represented lead underwriter in connection with shelf-takedown transaction for Nasdaq-listed semiconductor company.
- Counseled private clean-tech, biotechnology, software, technology and telecommunications companies on general corporate matters ranging from employee and securities law issues to equity compensation and business contract issues, and drafted and negotiated financing documents for various rounds of private equity and venture capital financing

Professional & Community Involvement
Ms. Siegel is a member of the Massachusetts and Boston Bar Associations. Ms. Siegel is also a member of the Boston Council of Champions for Citizen Schools, a Boston-based national nonprofit organization focused on developing after-school education opportunities for middle school students, particularly in urban settings. Ms. Siegel is also a long-time volunteer writing coach with Citizen Schools’ Eighth Grade Academy program.
