Choate recently represented Winco in its merger with G.E.T. Enterprises, a Houston-based portfolio company of Olympus Partners.
Choate represented Great Hill Partners in its acquisition of Reliam, a leading provider of managed services for public cloud platforms, and the addition of serial entrepreneur (and newly former Great Hill executive-in-residence) Simon Anderson as CEO.
Choate represented Bank of America, N.A. in connection with a $3,150,000,000 senior secured loan to Rite Aid Corporation, comprised of a $2,700,000,000 asset-based revolving credit facility and a $450,000,000 first-in last-out term loan facility (collectively, the “Senior Credit Facilities”).
Choate represented Datawatch Corporation (Nasdaq-CM: DWCH), a leading data intelligence software company, in its definitive merger agreement to be acquired by Altair (Nasdaq: ALTR), a machine learning and optimization provider.
Choate represented Great Hill Partners, a leading growth-oriented private equity firm, in its definitive cross-border agreement to sell its controlling interest in portfolio company Ascenty, LLC, the largest provider of data center and fiber infrastructure services in Brazil, to Digital Realty (NYSE: DLR). The transaction values the company at over $1.8 billion.
Choate represented Bank of America Business Capital as the agent, lender and issuing bank in connection with a revolving, asset-based loan facility to Oneida Ltd., Anchor Hocking, LLC, Oneida Canada, Limited, Anchor Hocking Canada, Inc. and certain affiliates, providers of consumer and commercial tabletop and food preparation products in the U.S. and Canada.
