Cecilia O. Vega

Cecilia Vega helps clients to maximize the value of their intellectual property assets by providing insights and advice on commercial contracts, joint ventures, M&A transactions generally, and trademark/IP protection. With deep experience working as senior in-house IP and transactions counsel to both General Electric and Regeneron Pharmaceuticals, Cecilia has structured, prepared, and negotiated IP and technology aspects of major collaboration agreements, tech transfers, acquisitions, dispositions, and joint ventures across a range of technologies. She also has experience with the full range of issues presented by IT contracts, brand & trademark, software and open source matters.

  • Merger of Service Max with GE Digital business $915 MM: Merger Agreement including investment by GE Ventures unit, trademark, software review/remediation.

  • Sale of GE Transportation to Wabtec: Formation of SpinCo, Merger Agreement, Separation Agreement, Horizontal IP License.

  • Represent a cross-border life sciences company in connection with a series of licensing transactions of their core technology.

  • Assisted a US-based medical device company with preparation of a distribution agreement with a European distributor.

  • Agreements for GE Ventures (incubator and launch engine for startups and minority investments at GE), invitro diagnostics, aviation, oil & gas, digital and transportation technologies.

  • Monetization of Life Sciences patents used in surgery, Investment in a healthcare consultancy with private equity, NIH research agreement and collaboration with GE Healthcare and GE Research divisions.
