Larissa Cespedes-Yaffar participated in the firm's Summer Associate program in 2014.

Ms. Cespedes-Yaffar is a graduate of Cornell Law School, where she served as an Associate Editor for the Cornell Journal of Law and Public Policy.  While at Cornell Law, Ms. Cespedes-Yaffar was an active member of the Latin American Law Student's Association and Women's Law Coalition.  During her second and third year of law school, Ms. Cespedes-Yaffar worked as a research and teacher's assistant for the Business Law class at the Cornell University School of Hotel Administration.

Prior to law school, Ms. Cespedes-Yaffar worked as a Legal Assistant for Davis Polk and Wardwell LLP in New York.  While at Davis Polk, Ms. Cespedes-Yaffar worked on several pro-bono matters including: Legal Aid Society Cases focusing on Violence Against Women, Immigration and Asylum cases and uncontested divorce clinics in association with the Brooklyn Bar's Volunteer Lawyers Project.

Practice Focus

Private Equity: represents private equity funds and their portfolio companies with equity investments, fund formation, buyout transactions and dispositions.

Mergers & Acquisitions:  represents institutional investors, portfolio companies and management teams in negotiating and structuring leveraged buyouts, recapitalizations mergers and acquisitions.

Finance:  represents secured lenders, borrowers and equity sponsors in a range of financing transactions, including related real estate matters.

Business & Technology: represents public and private companies in a variety of industries in mergers and acquisitions, securities law compliance issues, venture capital equity financings and general corporate work.

Professional and Community Involvement

Ms. Cespedes-Yaffar is a member of the Boston Bar Association and the Women’s Bar Association of Massachusetts.  Ms. Cespedes-Yaffar is active in the Firm’s Citizen Schools program, leading legal apprenticeship sessions with local middle school students.
