Rees Hawkins has extensive experience working with private equity and growth equity funds and their portfolio companies in general corporate matters, financing matters and M&A.  Mr. Hawkins also regularly represents emerging technology companies at all stages of the business lifecycle. 

Mr. Hawkins has been selected as one of The M&A Advisor’s 40 Under 40 Award Winners in the Legal Advisor category, and has been named a Massachusetts Super Lawyers Rising Star for the last six years.

Mergers & Acquisitions:  corporate transactions including mergers, acquisitions, leveraged buyouts and private placements for private companies in a variety of industries including, clean-tech, software, healthcare and food services.

Business & Technology:  formation and early funding stages for local domestic and international start-up companies with a focus on clean-tech and software companies.

Private Equity/Venture Capital:  represents private equity and venture capital firms with respect to portfolio company financing transactions and disposition.

  • Represented Braintree Payment Solutions, in $800 million sale to eBay, Inc. / PayPal, Inc.
  • Represented Spectrum Equity (equity sponsor) in Extreme Reach, Inc.’s $485 million “take private” of TV and On-Line digital advertising solutions provider.
  • Represented Greencore Group, plc’s (GNC: LSE) U.S. subsidiaries in several strategic acquisitions across the U.S. and in general corporate matters.
  • Represented international satellite networking solutions company in series of cross-border acquisitions.
  • Represented private equity fund in $455 million syndicated leveraged buy-out of manufacturing company and company’s subsequent $40 million strategic acquisition.
  • Represented private Irish company in sale to IBM.
  • Represented private equity fund in acquisitions of outpatient specialty care Health-IT company and home healthcare software solutions provider.
  • Represented growth-equity fund in minority recap investment in pharmalogical services provider.
  • Represented international mobile device manufacturing company in strategic acquisition of software platform.
  • Represented private equity fund in growth equity financings of developer of continuing education software and provider of in-home healthcare software and services.
  • Represented private equity syndicate in recapitalization and investment in online bill payment company, and subsequent $300 million sale to public company acquirer.
  • Represented private equity fund and management team in $287 million cross-border sale of developer and provider of mortgage origination software to public strategic acquirer.
  • Represented clean-tech company in acquisition of organic materials manufacturer.
  • Represented venture capital fund in early stage funding of travel website company.
  • Represented daily-deal start up in general corporate matters, acquisitions and financings.
  • Represented international test equipment rental company in strategic acquisition in United States.
  • Represented investor in its acquisition of controlling stake in, and restructuring of, manufacturer of advanced power electronics.
  • Represented analytic software company in $60 million sale to large public company.
