Overview Choate’s finance team advises banks and private credit lenders on a variety of acquisition and recapitalization financings, including cash flow and asset-based credits, across a broad range of industries and deal sizes. Our extensive experience structuring and documenting facilities involving complex subordination and intercreditor issues, paired with the strength of our preeminent restructuring and bankruptcy practice, allows us to identify and mitigate structural and credit risks and protect the interests of our clients, whether they are senior secured, junior lien, or mezzanine lenders. Our decades of experience in sponsor-backed facilities provides unique insight into the latest trends and deal terms in an ever-changing market. We harness those insights by tracking key structural and economic deal terms across multiple categories in our proprietary database, which we use to better advise our clients and help them win deals and negotiate commitment papers and loan documentation. In addition, we represent clients in a number of liability management exercises, and our familiarity with the trends and complex documentation issues in these transactions enables us to structure credits to minimize collateral leakage and mitigate other credit risks.
